If, for the beneficial interest of any person or entity other than yourself, you received or acquired the common stock of Newell Brands Inc. pursuant to the S-4 registration statement and prospectus (including all amendments thereto and all documents incorporated therein) issued in connection with Newell Brands Inc.’s April 2016 acquisition of and merger with Jarden Corporation, you must, within ten (10) calendar days of receipt of the Notice, either:

  1. request from the Administrator sufficient copies of the Notice to forward to all such beneficial owners and forward those Notices yourself within ten (10) calendar days after receiving them; or
  2. provide a list of the names and addresses of all such beneficial owners described above to the Notice Administrator, Epiq;

  1. Compile a list of names and addresses of all such beneficial owners to the Administrator.

If you elect to mail the Notice of Pendency to beneficial owners yourself, additional copies of the Notice of Pendency may be requested via email to If you are providing the Notice of Pendency to beneficial owners, the mailing must be completed within ten (10) business days of your receipt of the Notice from the Administrator. You must also send a statement to the Administrator at the address above confirming that the mailing was made, and you must retain your mailing records for use in connection with any further notices that may be provided in the Action. Failure to timely forward the Notice of Pendency to beneficial owners may affect their legal rights.

Expense Reimbursement:

You are entitled to reimbursement for your reasonable expenses actually incurred in complying with the foregoing, including reimbursement of reasonable postage expenses and reasonable costs of obtaining the names and addresses of beneficial owners, provided you timely submit an invoice to the Notice Administrator. Please submit a copy of your invoice to the Notice Administrator within one month of the completing the mailing or providing the list of names, addresses and email addresses.
